LAWKI, Inc. Terms of Service

Welcome, and thank you for your interest in LAWKI, Inc. and its subsidiaries doing business as Lawki Clothing, Lawki Electronics ("LAWKI," "we," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and LAWKI regarding your access to and use of our websites, networks, applications, mobile applications, and related services (collectively, the "Service"). Arbitration Notice: Except for certain types of disputes outlined in Section 18, you agree that disputes related to these Terms or your use of the Service will be resolved through binding individual arbitration. By accepting these Terms, you waive your right to a trial by jury or participation in any class or representative action.

1. Overview of Service

LAWKI Clothing offers a curated online fashion platform featuring premium global brands, emerging designers, and exclusive products as well as our inhouse brand Lawki Studios.

2. Eligibility

To use our Service, you must:
(a) Be at least 18 years old;
(b) Not have been previously suspended or removed from the Service;
(c) Comply with all applicable laws and regulations.

If you are registering on behalf of a company or organization, you must have the authority to bind them to these Terms.

3. Accounts and Registration

To access certain features, you must create an account ("Account"). You are responsible for maintaining the confidentiality of your login information and for all activities under your Account. If you suspect unauthorized access, contact customer service at support@lawkiclothing.com immediately.

4. Payment Terms

Pricing: LAWKI reserves the right to adjust prices at any time. Prices shown during checkout are the applicable prices.

Shipping: You are responsible for all shipping charges, tariffs, taxes, and customs fees. Check your local customs policies for more details.

Delivery: While we strive for timely delivery, LAWKI is not liable for delays beyond our control.

Authorization: By making a purchase, you authorize LAWKI to charge your selected payment method for the applicable order total.

5. Refunds and Exchanges

All purchases are subject to our Return Policy. If there are defects in your purchase within 30 days of receipt, we offer replacements or refunds. Products with intentional distressing are excluded from warranty for regular wear and tear.

6. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use our mobile application and Service for personal, non-commercial purposes.

Restrictions: You may not reverse engineer, distribute, or modify our Service, except as permitted by law.

7. User Content

Certain features may allow you to upload content ("User Content"). By submitting content, you grant LAWKI a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content across our platform and promotional materials.

You must ensure that your User Content does not violate any third-party rights or laws and is not defamatory, harassing, or inappropriate.

8. Intellectual Property

All content provided through the Service, including images, text, and software, is the proprietary property of LAWKI or its licensors. Unauthorized use of these materials is strictly prohibited.

9. Third-Party Services

LAWKI may integrate with third-party services (e.g., social media sharing tools). We are not responsible for the actions or terms of third-party providers.

10. Prohibited Conduct

You agree not to:

Engage in illegal activity or harass other users;

Violate third-party intellectual property rights;

Attempt to reverse-engineer or bypass security features;

Upload viruses or harmful code.

Violations may result in suspension or termination of your account.

11. Digital Millennium Copyright Act (DMCA)

If you believe content on our platform infringes your intellectual property rights, submit a complaint to our designated agent:

12. Indemnification

You agree to indemnify and hold LAWKI, its affiliates, officers, and employees harmless from any claims or liabilities arising out of your use of the Service or violation of these Terms.

13. Disclaimer of Warranties

The Service is provided "AS IS" without any warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. LAWKI does not guarantee uninterrupted access or error-free functionality.

14. Limitation of Liability

To the extent permitted by law, LAWKI is not liable for any indirect, incidental, or consequential damages, including loss of profits or data, even if advised of the possibility of such damages. Our total liability to you will not exceed:
(a) The amount you paid to LAWKI in the month prior to the event leading to the claim; or
(b) $100, whichever is greater.

15. Arbitration and Dispute Resolution

Agreement to Arbitrate: You and LAWKI agree to resolve disputes exclusively through binding arbitration, not in court, except for small claims.

No Class Actions: Disputes must be resolved on an individual basis.

Opt-Out: You may opt out of arbitration within 30 days by submitting a written notice to LAWKI, Inc., ATTN: Legal Department, [2980 NE 207th St, STE 300 Aventura FL 33180].

16. Modifications to the Service

LAWKI may modify or discontinue any part of the Service at any time without liability.

17. Termination

We reserve the right to suspend or terminate your access for any reason, including breach of these Terms. Upon termination, your rights to use the Service cease immediately.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of California, and disputes will be resolved in the courts of Los Angeles County unless otherwise specified by arbitration.

20. Miscellaneous

Assignment: You may not transfer your rights under these Terms without our consent.

Entire Agreement: These Terms, along with our Privacy Policy, represent the entire agreement between you and LAWKI.

Severability: If any provision is deemed unenforceable, the remainder will remain in effect.

Electronic Communications: By using the Service, you consent to receive communications electronically.
